NHL, union get back to bargaining with mediators

Whether federal mediators will provide enough help to end the NHL lockout in time to save the hockey season is still unknown.

At least they had a good first day.

Negotiators from the NHL and the players' association returned to the bargaining table Wednesday for the first time in a week and the first time with outside voices contributing to the talks.

The location was secret, and so was what was discussed, but the talks went well enough that the sides will be back at the negotiating table Thursday.

"No comments," was all NHL deputy commissioner Bill Daly would say Wednesday night in an email to The Associated Press.

NHLPA executive director Don Fehr issued a short statement, saying: "A small group of NHLPA staff and players met today with two experienced FMCS mediators. We expect that these discussions will resume on Thursday."

It was the first meeting between the sides since a get-together that lasted just over two hours last week in New York after the locked-out players' association made a new comprehensive proposal that was quickly rejected by the NHL.

The sides agreed Monday to use the Federal Mediation and Conciliation Service. George Cohen, the service's director, assigned deputy director Scot Beckenbaugh and director of mediation services John Sweeney to the negotiations. Beckenbaugh and Sweeney met separately with the two sides before talks began in full Wednesday.

It wasn't immediately known how long negotiations went on before they ended in the early evening.

In the previous meeting last week, Fehr said the sides were $182 million apart in a five-year deal, which comes to $1.2 million annually for each of the 30 teams.

The NHL wants to increase eligibility for free agency to 28 years of age or eight seasons of service, up from 27 years or seven seasons. The league has also proposed adding a year of service for salary arbitration eligibility, hiking it from 1-4 to 2-5 years of service, depending on the age a player signs.

On Oct. 16, the NHL proposed a 50-50 split of hockey-related revenue, down from the players' 57 percent portion of $3.3 billion last season. With guaranteed contracts likely to push the players' share over the halfway mark at the start of the next deal, management wants that money to come out of future years to bring the overall percentage down to an even split over the length of an agreement.

Players previously had proposed they receive a guaranteed amount of income each year.

Fehr said players proposed they get $393 million over the length of the deal, while the NHL is at $211 million. Owners want a seven-year deal, which the union says is too long because less than half the current players will be active by the last season.

This is the league's third lockout since 1994. The first was settled on Jan. 11 and the last one led to NHL Commissioner Gary Bettman announcing the cancellation of the 2004-05 season on Feb. 15. That marked the only time a major professional North American sports league lost an entire season because of a labor dispute.

This lockout, which reached its 74th day Wednesday, has already forced the cancellation of all games through Dec. 14, the New Year's Day Winter Classic, and All-Star Weekend that was slated for Columbus, Ohio, in January.

Anger as Hungary far-right leader demands lists of Jews

BUDAPEST (Reuters) - A Hungarian far-right politician urged the government to draw up lists of Jews who pose a "national security risk", stirring outrage among Jewish leaders who saw echoes of fascist policies that led to the Holocaust.

Marton Gyongyosi, a leader of Hungary's third-strongest political party Jobbik, said the list was necessary because of heightened tensions following the brief conflict in Gaza and should include members of parliament.

Opponents have condemned frequent anti-Semitic slurs and tough rhetoric against the Roma minority by Gyongyosi's party as populist point scoring ahead of elections in 2014.

Jobbik has never called publicly for lists of Jews.

"I am a Holocaust survivor," said Gusztav Zoltai, executive director of the Hungarian Jewish Congregations' Association. "For people like me this generates raw fear, even though it is clear that this only serves political ends. This is the shame of Europe, the shame of the world."

Between 500,000 and 600,000 Hungarian Jews died in the Holocaust, according to the Holocaust Memorial Centre in Budapest. According to some accounts, one in three Jews killed in Auschwitz were Hungarian nationals.

Gyongyosi's call came after Foreign Ministry State Secretary Zsolt Nemeth said Budapest favored a peaceful solution to the Israeli-Palestinian conflict as benefiting both Israelis with Hungarian ancestry, Hungarian Jews and Palestinians in Hungary.

Gyongyosi, who leads Jobbik's foreign policy cabinet, told Parliament: "I know how many people with Hungarian ancestry live in Israel, and how many Israeli Jews live in Hungary," according to a video posted on Jobbik's website late on Monday.

"I think such a conflict makes it timely to tally up people of Jewish ancestry who live here, especially in the Hungarian Parliament and the Hungarian government, who, indeed, pose a national security risk to Hungary."

Gyongyosi, 35, is the son of a diplomat who grew up mostly in the Middle East and Asia -- Egypt, Iraq, Afghanistan and India -- and whose office is decorated by Iranian and Turkish souvenirs. He graduated with a degree in business and political science from Trinity College in Dublin in 2000.

He worked for four years at the Dublin office of KPMG, then returned to Budapest in 2005. He has been active in Jobbik since 2006 and became their MP in 2010.

APOLOGY

The government condemned the remarks.

"The government strictly rejects extremist, racist, anti-Semitic voices of any kind and does everything to suppress such voices," the government spokesman's office said.

Laszlo Kover, the Speaker of parliament, who is from the ruling Fidesz party, also issued a statement on Tuesday in which he called for a tightening of house rules that would allow a sanctioning of such behavior.

Gyongyosi tried to play down his comments on Tuesday, saying he was referring to citizens with dual Israeli-Hungarian citizenship.

"I apologies to my Jewish compatriots for my declarations that could be misunderstood," he said on Jobbik's website.

He later told a news conference that he would not resign and considered the matter "closed," national news agency MTI reported.

Jobbik's anti-Semitic discourse often evokes a centuries-old blood libel - the accusation that Jews used Christians' blood in religious rituals.

"Jobbik has moved from representing medieval superstition (of the blood libel) to openly Nazi ideologies," wrote Slomo Koves, chief rabbi of the Unified Hungarian Jewish Congregation.

STEADY BASE

Jobbik registered as a political party in 2003, and gained increasing influence as it radicalized gradually, vilifying Jews and the country's 700,000 Roma.

The group gained notoriety after founding the Hungarian Guard, an unarmed vigilante group reminiscent of World War Two-era far-right groups. It entered Parliament at the 2010 elections and holds 44 of 386 seats.

The centre-right government of Prime Minister Viktor Orban has struggled to pull Hungary out of recession as many European countries suffer from an economic crisis.

Orban's Fidesz has lost more than a million voters since 2010, even though it is still the strongest political force.

More than half of Hungary's electorate is undecided and having retained its voter base, some analysts say Jobbik could hold the balance of power in the 2014 elections between Fidesz and the fragmented left-wing opposition.

Gazans thank Iran for help in battling Israel

GAZA CITY, Gaza Strip (AP) ? Residents of the Gaza Strip on Wednesday plastered large billboards in key locations thanking Iran for its help during a recent eight-day battle against Israel.

The posters reflected the strong ties between Iran and the Hamas and Islamic Jihad militant groups in Gaza. Israel considers Iran to be its most dangerous enemy, citing Iran's support for the militants and its suspect nuclear program.

During the fighting, Gaza militants groups fired hundreds of rockets into Israel, including Iranian-made "Fajr" missiles reaching as far as Tel Aviv and the outskirts of Jerusalem.

Israel has long accused Iran of funneling weapons into the Gaza Strip, but only recently have the militant groups openly acknowledged the origins of their arsenal.

The posters, displayed at busy intersections through Gaza, show the Al-Aqsa Mosque in Jerusalem, surrounded by Iranian and Palestinian flags, two hands in a handshake with the words, "Thanks and Gratitude to Iran" in Arabic, Hebrew and Farsi.

The posters were not signed, and Hamas and Islamic Jihad representatives said their groups had nothing to do with them. But their prominent location, at busy intersections and next to a destroyed Hamas security compound, as well as the fact that they were not removed, indicated that the militants were involved in the effort. Hamas has ruled Gaza with a firm hand since overrunning the territory in 2007.

Hamas and Islamic Jihad leaders have also publicly thanked Iran.

Israeli government spokesman Mark Regev accused the Hamas leadership of putting its interests above those of the people of the Gaza Strip.

"I don't think anyone should be surprised by the connection between Hamas and Iran, because they share the same extremists and hateful ideology," he said.

Israel launched the offensive in Gaza on Nov. 14 in response to months of intensifying Palestinian rocket fire. Israel launched roughly 1,500 airstrikes at Palestinian rocket launchers and storage sites. While Israel claims to have inflicted heavy damage, the militants continued to fire rockets until a cease-fire was declared on Nov. 21.

In eight days of fighting, more than 160 Palestinians, including dozens of civilians, were killed, according to Palestinian medical officials. Six Israelis were killed.

Las Vegas home sales pick up in October | Boston Homes Prime ...

Home sales in the Las Vegas-Paradise metro area increased in October, despite a historic decline in the month.

According to DataQuick, 4,570 new and resale homes and condos were closed in October, up 11.7 percent from the previous month and down 0.7 percent from a year ago. Since 1994, sales have declined an average of 1.7 percent between September and October.

Additionally, the median price for new and resale homes and condos was $137,000, a 19.2 percent year-over-year gain. However, this figure was unchanged from the previous month. Before April of 2012, the median price had declined for 18 consecutive months in Clark County.

Although the real estate market typically sees a seasonal slowdown at this year, home sales figures have remained strong as a result of record low mortgage rates. According to Freddie Mac's most recent Primary Mortgage Market Survey, both 15- and 30-year fixed-rate mortgages averaged new lows in the week ending November 21. Low rates have helped make home buying affordable to many people who have been on the fence.

Doing Business in Germany: Formation of a corporate entity named ...

A German GmbH can be set up by one or more individuals or entities, usually without restrictions. It is an excellent vehicle to gain access to a thriving market, giving the US investor a local presence in Germany and the European Union. Urban Thier Federer & Chinnery represents clients from all over the United States with regards to the initial formation of a German entity, followed by ongoing advice with regards to legal issues in Germany and the European Union, such as contracts, Intellectual Property matters and any other business law related advice the client requests.

  1. Entity

The GmbH is a German limited liability company. It is comparable to the United States ?C-Corporation?. It is not a partnership or a hybrid entity, such as the United States ?LLC?.

The GmbH is a very structured entity form which is at the same time flexible to adjust to the needs of a US investor. Its Articles of Incorporation (?Satzung?) allow a wide range of regulations to enable an investor to exercise control over management and prevent undesired share transfers. The GmbH is usually a vehicle for smaller to mid-sized businesses; large companies use the ?Aktiengesellschaft?, the ?AG?, which is a corporation suited for larger and for public companies.

A minimum amount of EUR 25,000 is required as equity contribution to the GmbH. The amount of equity paid and the names of the different shareholders are entered into the public register. A supervisory board is not required by law in Germany; however, such a board can be established if the shareholders decide to do so or by regulation in the articles of the GmbH. The formation of the GmbH and all and any sale and transfer of shares has to be performed in front of a German Notar. The German Notar is a specifically qualified lawyer, appointed by the court, to act as a quasi-judicial entity to ensure the accuracy of important transaction, such as the formation of a GmbH or the transfer and sale of shares in a German GmbH. His role and education requirements are every different from a US notary public.

The liabilities of the shareholders of the GmbH towards third parties are limited to the amount of the signed share capital of the company. Once a shareholder has paid his or her equity contribution in full, there is no more individual liability on the part of the shareholder. It Is permitted to make in-kind contributions instead of cash contributions.

The location of the actual registered office of the GmbH has to be within Germany. It is possible to open one or more office locations for the GmbH outside of Germany, in example at the location of a foreign shareholder of the GmbH.

After the GmbH was set up in front of the German Notar, the formation proceedings are not completed unless the required equity amount has been paid in and the registration with the German public register has been submitted by the Notar. In the interim, the entity can already act and contract, but has to add the affix ?i.G.? to its name, indicating that it is a GmbH in the process of formation. If the formation is not eventually completed, the managers and the shareholders may be held liable for obligations entered into by the GmbH i.G.

  1. Shareholders

The shareholders of a GmbH have substantial powers. The majority of shareholders can, through a resolution made at a shareholder meeting, direct the managers to follow its instructions. Votes are usually counted in accordance with the percentage of shares owned (?Geschaeftsanteil?).

The shareholders have the right to approve the annual financial statements. They determine how the company profits are used and appoint and dismiss the managers. In essence, they are entitled to direct the business through the executing managers.

  1. Management

The GmbH can have one or more managers, called ?Geschaeftsfuehrer?. The manager has to be an individual person; legal entities are not permitted as manager. Such manager can live in Germany or abroad, he/she does not necessarily have to be a German resident or citizen. However, there is a substantial number of obligations of a manager of a GmbH, in particular related to incidences where the GmbH is low on liquidity. Due to the complexity of these legal obligations, it is very much recommended to any US investor who wishes to operate through a GmbH in Germany to appoint an experienced GmbH Geschaeftsfuehrer as manager. The US investor should also work with and through specialized local legal advisors such as Urban Thier Federer & Chinnery.
